Submission terms

1.GRANT OF RIGHTS
1) By submitting or providing any materials—including photographs, video or audio recordings, comments, stories, designs, text, or any other content (collectively referred to as “Submissions”)—to the Restoration Alliance Party (“RAP”), I grant RAP and its authorized partners a perpetual, irrevocable, worldwide, royalty-free, and sublicensable license to use, reproduce, display, distribute, adapt, modify, create derivative works from, and otherwise exploit the Submissions in any manner and media for any purpose, at RAP’s sole discretion. This includes, but is not limited to, promotional campaigns, advertising, public relations, new service launches, and other commercial or public benefit uses.
2) I also grant RAP the right to use my name, likeness, voice, story, comments, and persona in connection with such Submissions. I agree not to use or license the Submissions for any commercial or corporate social responsibility purpose outside of RAP’s context, unless expressly authorized.
2.PHOTOGRAPHS AND RECORDINGS BY RAP
1) I grant RAP and its authorized personnel the right to:
- photograph and record me,
- edit and adapt such materials, and
- use, reproduce, and distribute these photographs and recordings (“Photographs and Recordings”), either in whole or in part, in any media, for any purpose deemed appropriate by RAP.
2) This includes using my name, likeness, voice, story, comments, and persona as part of these materials. I acknowledge that all rights in the Photographs and Recordings are owned solely by RAP, and I retain no rights therein.
3.REPRESENTATIONS AND WARRANTIES
I represent and warrant that:
- I am at least 18 years old, or I have obtained parental or guardian consent as required;
- I own all rights, including copyright, to the Submissions or have secured all necessary rights and permissions to submit them to RAP;
- I have obtained written consent from any individuals (or their guardians if minors) appearing in the Submissions;
- The Submissions and Photographs and Recordings do not infringe any third-party rights (including copyright, trademark, privacy, or publicity) or violate any law, regulation, or agreement;
- I am authorized to grant the permissions outlined herein.
4.OWNERSHIP AND VOLUNTARY PARTICIPATION
I confirm that the Submissions were created voluntarily, using my own time and resources—not those of any employer or third party—and that no other entity has any claim of ownership. Any materials used in the creation of Submissions are understood to be donated to RAP, and may be treated as part of a contribution, payment, or service review process.
5.INDEMNIFICATION
I agree to indemnify, defend, and hold harmless RAP and its directors, officers, employees, contractors, agents, partners, and affiliates from any claims, liabilities, losses, damages, and legal costs arising out of or in connection with the Submissions, Photographs and Recordings, or my breach of any representation or warranty in this agreement.
6.WAIVER AND RELEASE
I release RAP and its agents, affiliates, and assignees from any claims relating to the use of the Submissions, Photographs and Recordings, or my likeness, voice, story, comments, or persona, including but not limited to claims based on privacy, publicity, or moral rights. I acknowledge that I will not receive any compensation for these uses.
7.IRREVOCABILITY AND USE DISCRETION
The rights and permissions granted herein are irrevocable and perpetual. I understand that RAP may rely on this agreement and that I waive any right to seek injunctive or equitable relief that could interfere with the authorized use of my Submissions or related materials. RAP is under no obligation to use any Submission or Recording, and all granted rights are fully assignable and sublicensable.
8.AMENDMENTS AND GOVERNING LAW
No amendments or modifications to these terms will be valid unless in writing and signed by both parties. These terms shall be governed by and construed under the laws of the Republic of Kenya. No other choice-of-law or conflict-of-law provisions shall apply.
